Adaptive Ambition Professional Membership Terms & Conditions

Last Updated: September 16, 2026

These Adaptive Ambition Professional Membership Terms & Conditions (“Professional Terms”) govern the purchase, access, and use of Adaptive Ambition Professional memberships, resources, materials, and related services provided by Adaptive Ambition™ (“Adaptive Ambition,” “we,” “us,” or “our”).

By purchasing an Adaptive Ambition Professional membership, accessing the Professional Resource Library, or using resources provided through an Adaptive Ambition Professional membership, you agree to these Professional Terms.

If you purchase a membership on behalf of a practice, organization, or other entity, you represent that you have authority to accept these Professional Terms on its behalf.

1. Adaptive Ambition Professional

Adaptive Ambition Professional provides a library of practical resources designed for use by professionals supporting patients or clients who may experience fluctuating capacity, brain fog, cognitive overload, executive-function challenges, energy limitations, and related day-to-day functional challenges.

Resources may include worksheets, planning tools, educational materials, communication supports, appointment-preparation resources, caregiver or family resources, and other professional-use materials.

Adaptive Ambition Professional resources are intended to complement, not replace, the professional judgment and expertise of the professionals using them.

2. Membership Eligibility

Adaptive Ambition Professional is intended for professionals who use the resources within the scope of their professional work.

When purchasing a membership, you may be asked to provide information such as your professional or practice name, professional role or credential, and, when applicable, an NPI number.

You are responsible for providing accurate information and for determining whether your use of Adaptive Ambition Professional resources is appropriate within the requirements, standards, laws, regulations, and ethical obligations applicable to your profession.

3. Membership Tiers and Licensed Providers

Adaptive Ambition Professional memberships are licensed according to the membership tier purchased.

Solo Professional — 1 Provider
Covers one individual professional.

Practice — Up to 5 Providers
Covers up to five individual professionals associated with the purchasing practice or organization.

Expanded Practice — Up to 15 Providers
Covers up to fifteen individual professionals associated with the purchasing practice or organization.

A “provider” or “licensed provider” for purposes of these Professional Terms means an individual professional authorized to access or use Adaptive Ambition Professional resources under the applicable membership.

Membership access may not exceed the number of providers included in the purchased tier.

4. Primary Membership Administrator

Practice and Expanded Practice memberships may have a primary purchaser or membership administrator responsible for managing the membership.

The membership administrator is responsible for ensuring that only eligible providers covered by the applicable membership tier receive access to Professional resources.

Requests to add or remove providers may be submitted through the Manage Provider Access feature or another method designated by Adaptive Ambition.

The membership administrator is responsible for requesting removal of access when a provider is no longer covered by the membership.

5. Individual Provider Accounts

Each licensed provider should access Adaptive Ambition Professional through their own authorized account.

Login credentials and account access may not be shared between providers or with individuals who are not covered by the applicable membership.

Secondary provider accounts receive access to Professional resources but do not receive purchaser-level authority over billing, payment methods, cancellations, membership administration, or other purchaser functions unless separately authorized by Adaptive Ambition.

6. Professional-Use License

During an active membership, Adaptive Ambition grants each licensed provider a limited, non-exclusive, non-transferable, revocable license to use Professional Resource Library materials in connection with their professional work.

Subject to these Professional Terms, licensed providers may:

  • Access and download Professional resources.
  • Print resources for use with their own patients or clients.
  • Provide individual resource copies to patients or clients they personally serve.
  • Use resources during appointments, sessions, consultations, or other appropriate professional interactions.
  • Incorporate appropriate resources into their professional workflow.
  • Maintain reasonable working copies necessary for permitted professional use during an active membership.

The membership grants a license to use the materials. It does not transfer ownership of the materials or their intellectual property rights.

7. Patient and Client Use

Licensed providers may provide individual Adaptive Ambition Professional resources to their own patients or clients when appropriate within their professional work.

A patient or client who receives a resource may use that copy for their own personal purposes.

Providing a permitted resource to an individual patient or client does not grant that person a license to reproduce, redistribute, publish, sell, or otherwise distribute the resource to others.

8. Prohibited Uses

Unless Adaptive Ambition provides prior written permission, you may not:

  • Resell Professional resources.
  • Redistribute resources publicly.
  • Upload resources to public websites, shared public drives, resource repositories, social-media platforms, or other publicly accessible locations.
  • Share the complete Professional Resource Library with patients, clients, colleagues, organizations, or other third parties.
  • Provide Professional resources to professionals who are not covered by your membership.
  • Share login credentials or permit unauthorized account access.
  • Remove or obscure Adaptive Ambition copyright, trademark, attribution, or licensing information.
  • Claim Adaptive Ambition resources as your own work.
  • Repackage, sublicense, publish, or commercially distribute the resources as a separate product or resource collection.
  • Use the resources to create a substantially similar competing resource library for sale, licensing, or distribution.

Nothing in these Professional Terms prevents a licensed provider from using the resources as permitted with their own patients or clients.

9. Membership Billing Options

Adaptive Ambition Professional may offer monthly and annual membership options.

Prices and billing frequency are displayed at the time of purchase and may vary by membership tier.

Applicable taxes may be added where required.

10. Monthly Memberships and Initial 3-Month Commitment

Monthly Adaptive Ambition Professional memberships include an initial three-month commitment.

By purchasing a monthly membership, you authorize the applicable membership fee to be charged each month for at least the first three consecutive monthly billing periods.

After completion of the initial three-month commitment, the membership continues on a month-to-month basis until canceled in accordance with these Professional Terms.

Cancellation during the initial three-month commitment does not eliminate amounts due for the remainder of the initial commitment, except where otherwise required by applicable law.

11. Annual Memberships

Annual memberships provide twelve months of access beginning on the applicable membership start or renewal date.

The annual membership fee is charged according to the terms displayed at checkout.

Unless otherwise stated at purchase, annual memberships automatically renew for additional annual terms until canceled before the applicable renewal date.

Cancellation of an annual membership prevents the next annual renewal but does not ordinarily terminate access before the end of the already-paid annual membership period.

12. Automatic Renewal

Memberships are recurring subscriptions.

By purchasing a membership, you authorize Adaptive Ambition and its payment-processing providers to charge your selected payment method according to the membership tier and billing frequency selected at checkout.

Monthly memberships renew monthly after the initial three-month commitment unless canceled.

Annual memberships renew annually unless canceled before renewal.

Renewal charges will be based on the applicable membership price in effect for your subscription, subject to any legally required notice of pricing changes.

13. Cancellation

The primary purchaser or authorized membership administrator may cancel the membership through the available membership-management process or by contacting Adaptive Ambition if assistance is required.

For monthly memberships, cancellation may be requested during the initial three-month commitment, but the purchaser remains responsible for charges associated with the initial commitment unless otherwise required by law. After the initial commitment has been satisfied, cancellation stops future monthly renewals.

For annual memberships, cancellation stops the next annual renewal. Access generally continues through the end of the already-paid annual membership period.

To avoid an upcoming renewal charge, cancellation should be completed before the applicable renewal is processed.

14. Refunds

Except where required by applicable law, membership fees and renewal payments are non-refundable once charged.

Because membership provides access to downloadable digital professional resources, Adaptive Ambition does not provide refunds for membership periods that have already begun, downloaded resources, unused membership time, failure to use the Resource Library, or cancellation after a renewal payment has been processed.

Cancellation prevents applicable future renewals but does not ordinarily create a refund for previously paid membership fees.

If you believe you were charged in error, contact Adaptive Ambition so the transaction can be reviewed.

15. Failed or Declined Payments

You are responsible for maintaining a valid payment method for your membership.

If a recurring payment is declined, fails, or cannot be processed, Adaptive Ambition or its payment provider may attempt to process the payment again and may request an updated payment method.

Membership access may be suspended or terminated if required payments remain unpaid.

Suspension or termination resulting from a failed payment does not eliminate amounts already owed under an applicable initial membership commitment.

16. Access After Cancellation or Termination

When membership access ends, licensed providers must stop accessing and downloading materials from the Professional Resource Library.

Resources legitimately provided to individual patients or clients during an active membership do not need to be retrieved from those individuals.

After membership termination, former members may retain copies reasonably necessary for their own records where required by law or professional recordkeeping obligations, but they may not continue distributing new copies of Professional resources or otherwise use the library as though the membership remained active.

17. Changes to Membership Tier

A membership may need to be upgraded if the number of professionals using Adaptive Ambition Professional exceeds the provider limit of the current membership tier.

Professional resources may only be used by the number of providers covered by the active membership.

Availability, timing, pricing, and billing treatment of membership upgrades or other tier changes may depend on the subscription options available at the time the change is requested.

18. Resource Library Updates

Adaptive Ambition Professional is a growing resource library.

Resources may be added, updated, revised, reorganized, renamed, replaced, or removed over time.

Membership does not guarantee that any particular resource will remain available indefinitely or that a specific number of new resources will be released during a membership period.

Current resources are provided as available through the Professional Resource Library.

19. Intellectual Property

Adaptive Ambition Professional resources, including their text, design, organization, worksheets, templates, graphics, branding, and other original content, are owned by Adaptive Ambition or used with appropriate permission and are protected by applicable intellectual-property laws.

Adaptive Ambition™, Adaptive Ambition Professional, associated product names, branding, and original resource materials remain the property of Adaptive Ambition.

No ownership rights are transferred through membership.

20. Professional Judgment and Disclaimer

Adaptive Ambition Professional resources are provided for educational, organizational, planning, and supportive purposes.

They are not medical advice, diagnosis, treatment, psychotherapy, legal advice, or a substitute for individualized professional care.

Adaptive Ambition does not establish a provider-patient, provider-client, therapist-client, physician-patient, or other professional relationship with individuals who use or receive the resources.

Licensed professionals remain solely responsible for determining whether and how a resource is appropriate for a particular patient, client, setting, circumstance, or professional purpose.

Nothing in the Professional Resource Library should be interpreted as directing a professional to act contrary to their professional judgment, licensing requirements, ethical obligations, applicable laws, or standards of care.

21. No Guarantee of Outcomes

Adaptive Ambition does not guarantee any particular clinical, functional, therapeutic, professional, business, or other outcome from use of the Professional Resource Library.

Individual circumstances and responses to resources vary.

22. Account Security

Members are responsible for maintaining the confidentiality and security of their account credentials and for activity occurring through their accounts.

If you believe an account has been accessed without authorization, you should notify Adaptive Ambition promptly.

23. Suspension or Termination for Misuse

Adaptive Ambition may suspend or terminate membership access if we reasonably determine that a member or covered provider has materially violated these Professional Terms, including unauthorized sharing, redistribution, resale, credential sharing, or use exceeding the purchased license.

Where appropriate, Adaptive Ambition may request that the member correct a licensing or account issue before access is restored.

Termination for violation of these Professional Terms does not create a right to a refund except where required by applicable law.

24. Third-Party Services

Adaptive Ambition may use third-party platforms and service providers for website hosting, membership administration, payment processing, account authentication, or related functions.

Use of those services may also be subject to the applicable provider's terms and privacy practices.

Adaptive Ambition is not responsible for outages or service interruptions caused by third-party platforms beyond our reasonable control.

25. Limitation of Liability

To the fullest extent permitted by applicable law, Adaptive Ambition will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to use of, inability to use, or reliance upon Adaptive Ambition Professional resources or membership services.

To the fullest extent permitted by applicable law, Adaptive Ambition's total liability arising from or related to an Adaptive Ambition Professional membership will not exceed the amount paid by the purchaser to Adaptive Ambition for that membership during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Professional Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

26. Changes to These Professional Terms

Adaptive Ambition may update these Professional Terms from time to time to reflect changes to membership services, licensing practices, legal requirements, or business operations.

The current version will be made available through the Adaptive Ambition website with its applicable “Last Updated” date.

Where required by law, we will provide additional notice of material changes.

Continued use of the membership after updated terms become effective constitutes acceptance of the updated terms to the extent permitted by applicable law.

27. Governing Law

These Professional Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any rights or remedies available to consumers or purchasers under applicable law remain unaffected where they cannot legally be waived.

28. Severability

If any provision of these Professional Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

29. Entire Agreement

These Professional Terms, together with any applicable policies expressly incorporated by reference and the membership terms displayed at checkout, constitute the agreement governing your Adaptive Ambition Professional membership and professional use of the Professional Resource Library.

If a specific membership term displayed at checkout conflicts with a general provision of these Professional Terms, the specific checkout term will control with respect to that purchase.

30. Contact

Questions regarding your Adaptive Ambition Professional membership, billing, cancellation, licensing, or these Professional Terms may be submitted through the contact information provided on the Adaptive Ambition website.
